The Amount of Remuneration for the Board of Commissioners and Board of Directors
Remunerasi Dewan Komisaris dan Direksi ditetapkan
dengan mempertimbangkan penilaian kinerja Dewan
Komisaris dan Direksi, kondisi Perseroan, dan rekomendasi
yang disampaikan oleh Komite Nominasi dan Remunerasi
ke Dewan Komisaris. Pada tahun 2020, remunerasi Dewan
Komisaris telah dijalankan sesuai dengan arahan/keputusan
RUPS Tahunan yang diadakan pada tanggal 23 Juli 2020 dan
dituangkan pada Berita Acara RUPS No. 34 tanggal 23 Juli
2020. Di lain pihak, sesuai dengan pelimpahan kewenangan
dalam RUPS tersebut, penetapan remunerasi Direksi
dilakukan oleh Dewan Komisaris.
Remuneration of the Board of Commissioners and
Board of Directors are determined by considering
the Board of Commissioners and Board of Directors
performance assessments, the Company’s condition, and
recommendations from the Nomination and Remuneration
Committees to the Board of Commissioners. In 2020,
remuneration for the Board of Commissioners has been
carried out in accordance with the directives/resolution of
Annual GMS which was held on July 23, 2020 and stipulated
in the GMS Minutes No. 34, dated July 23, 2020. On the other
hand in accorande with the delegation of authorities in the
GMS, the amount of remuneration for the Board of Directors
is determined by the Board of Commissioners.
Struktur remunerasi bagi Dewan Komisaris dan Direksi
terdiri dari remunerasi yang bersifat variabel seperti insentif
berbasis kinerja dan remunerasi yang bersifat tetap seperti
gaji pokok, honorarium, dan insentif non-kinerja.
Remuneration structure for the Board of Commissioners and
Board of Directors consists of variable remuneration such
as performance incentives and fixed remuneration such as
basic salary, honorarium, and non-performance incentives.
Tidak ada bonus non-kinerja dan bonus saham yang
diterima Dewan Komisaris dan Direksi di tahun 2020. Di sisi
lain, jumlah remunerasi yang diberikan di tahun 2020 untuk
Dewan Komisaris dan Direksi adalah sebagai berikut.

bonus received by the Board of Commissioners and Board of
Directors in 2020. However, the amount of remuneration in
2020 for the Board of Commissioners and Board of Directors
