Performance Assessment of Committees Under the Board of Commissioners
Secara kolegial maupun individu, penilaian Dewan
Komisaris dilakukan setiap tahun oleh Komite Nominasi dan
Remunerasi melalui mekanisme penilaian mandiri atau
self-
assessment
dengan kriteria:
1. Tingkat pencapaian Perseroan dibandingkan dengan
target (
key performance indicator
) yang telah disepakati.
2. Pelaksanaan tugasdan tanggung jawabDewanKomisaris
sesuai dengan peraturan perundang-undangan dan/
atau Anggaran Dasar Perseroan.
Collegially or individually, the Board of Commissioners
assessment is carried out by the Nomination and
Remuneration
Committee
through
self-assessment
mechanism with the following criterias:
1. The Company’s achievements compared to the agreed
target (key performance indicator).
2. Implementation of duties and responsibilities of the
Board of Commissioners according to the law and
regulations and/or the Company’s Article of Association.
Di tahun 2020, Dewan Komisaris memiliki tiga komite
yang membantu dalam menjalankan tugas dan tanggung
jawabnya, yaitu Komite Audit, Komite Nominasi dan
Remunerasi, serta Komite GCG. Dewan Komisaris menilai
komite-komite tersebut telah menjalankan tugas dan
tanggung jawabnya dengan baik.
In 2020, the Board of Commissioners has two committees to
assist the implementationof their duties and responsibilities,
which are the Audit Committee, the Nomination and
Remuneration Committee, and GCG Committee. The Board
of Commissioners has concluded that the committees has
carried out their duties and responsibilities properly.

Audit Committee
• Membantu Dewan Komisaris dalam menilai kecukupan pengendalian internal, termasuk
kecukupan proses pelaporan keuangan dengan memantau tindak lanjut hasil audit internal
maupun eksternal.

Assisting the Board of Commissioners in assessing the sufficiency of internal control,
including the financial reporting process by monitoring the follow up of internal or external
audit results.
Komite Nominasi dan Remunerasi
Nomination and Remuneration Committee
• Menyusun kriteria kompetensi untuk pencalonan anggota Dewan Komisaris dan Direksi.
• Mengkaji dan membahas perhitungan remunerasi dan usulan terkait besaran Remunerasi
Dewan Komisaris dan Direksi.

Compiling the competency criteria for the nomination of a member fo the Board of
Commissioners and Board of Directors.
•
Reviewing and discussing the calculation of remuneration and proposal related to the
amount of Remuneration for the Board of Commissioners an the Board of Directors.

• Membantu Dewan Komisaris dalam memastikan pelaksanaan tata kelola Perusahaan yang
dilakukan di dalam Perseroan berjalan dengan baik.
