a. Pendirian dan Informasi Umum
a. Establishment and General Information
PT Voksel Electric Tbk (“Perusahaan”)
didirikan di Jakarta berdasarkan akta notaris
Rachmat Santoso, S.H., No. 58 tanggal
19 April 1971, pengganti notaris Ridwan
Suselo, S.H. Akta pendirian tersebut telah
diubah dengan akta notaris Ridwan Suselo,
S.H., No. 46 dan 85 masing-masing tanggal
16 Oktober dan 20 Desember 1971. Akta
pendirian dan perubahannya tersebut telah
disahkan oleh Menteri Kehakiman dalam
Surat Keputusan No. JA-5/219/17 tanggal
24 Desember 1971 serta diumumkan dalam
Berita Negara No. 99, Tambahan No. 893
tanggal 11 Desember 1973. Pada tahun 1989,
Badan Koordinasi Penanaman Modal
menyetujui perubahan status Perusahaan dari
Penanaman Modal Dalam Negeri (PMDN)
menjadi Penanaman Modal Asing (PMA).
Berdasarkan akta notaris Ny. Poerbaningsih
Adi Warsito, S.H., No. 21, tanggal 17 Maret
2006, Perusahaan mengajukan perubahan
anggaran dasar antara lain sehubungan
dengan peningkatan modal ditempatkan dan
disetor Perusahaan. Perubahan ini telah
mendapat persetujuan dari Menteri Hukum
dan Hak Asasi Manusia dalam Surat
Keputusan No. C-11987.HT.01.04.TH.2006
tanggal 27 April 2006.
PT Voksel Electric Tbk (the “Company”) was
established based on notarial deed No. 58
dated April 19, 1971 of Rachmat Santoso,
S.H, a substitute notary to Ridwan Suselo,
S.H. The deed of establishment was amended
by notarial deeds No. 46 and 85 of Ridwan
Suselo S.H, dated October 16 and
December 20, 1971, respectively. The deed of
establishment and its related amendments
were approved by the Ministry of Justice in its
decision letter No. JA-5/219/17 dated
December 24, 1971, and was published in the
State Gazette No. 99, Supplement No. 893
dated December 11, 1973. In 1989, the
Indonesia Investment Coordinating Board
approved the change in the Company’s status
from a domestic to a foreign capital investment
entity. Based on the Notarial Deed No. 21
dated March 17, 2006 of Poerbaningsih Adi
Warsito S.H, the Company’s Articles of
Association was amended in relation to the
addition of authorized and issued share
capital. These amendments were approved by
the Ministry of Law and Human Rights in its
decision letter No.C-11987.HT.01.04.Th.2006
dated April 27, 2006.
Anggaran Dasar Perusahaan telah mengalami
beberapa kali perubahan, yang terakhir
dengan Akta Notaris No. 14 tanggal 7 Mei
2014 oleh Notaris Nanette Cahyanie Handari
Adi Warsito, S.H., mengenai perubahan
susunan anggota Dewan Direksi dan
Komisaris Perusahaan. Perubahan ini telah
dilaporkan kepada Menteri Hukum dan Hak
Asasi Manusia dalam Surat Pemberitahuan
No. AHU-07776.40.22.2014 tanggal 12 Mei
2014.
The Company’s Articles of Association have
been amended several times, the latest
amendment was based on notarial deed No.14
dated May 7, 2014 of Notary Nanette
Cahyanie Handari Adi Warsito, S.H., in
regards of changes in composition of Board of
Director and Board of Commissioner of the
Company. The amendment was reported to
the Ministry of Law and Human Rights in its
decision letter No. AHU-07776.40.22.2014
dated May 12, 2014.
Berdasarkan pasal 3 Anggaran Dasar
Perusahaan,
ruang
lingkup
kegiatan
Perusahaan antara lain meliputi bidang usaha
produksi dan distribusi kabel listrik, kabel
telekomunikasi, dan kawat enamel serta
peralatan listrik dan telekomunikasi. Saat ini,
Perusahaan terutama bergerak dalam industri
pembuatan kabel listrik, kabel telekomunikasi
serta kabel fiber optik.
As stated in Article 3 of its Articles of
Association, the Company’s scope of activities
consists of, among others, manufacturing and
distribution of power and telecommunication
cables, enameled wires and electrical and
telecommunication equipment. Currently, the
Company is primarily engaged in the
manufacture
of
power
cable,
telecommunication cable and fiber optic cable.
