Perseroan meyakini bahwa pengelolaan manajamen
Perseroan yang sesuai dengan Tata Kelola
Perusahaan

dapat
meningkatkan
kesuksesan organisasi. Oleh sebab itu manajemen
Perseroan telah memutuskan untuk menerapkan
prinsip-prinsip Tata Kelola Perusahaan yang Baik,
Good Corporate Governance (“GCG”) sebagaimana
yang tersirat dalam Pelaksanaan Etika Bisnis dan
Etika Kerja.
Sejak awal tahun 2010 Perseroan telah memiliki
panduan dalam berperilaku yang dituangkan dalam
Etika Bisnis dan Etika Kerja atau yang dikenal dengan
“EBEK” di lingkungan Perseroan. EBEK merupakan
pedoman sikap, perilaku dan cara kerja insan Voksel
yang diharapkan dapat meningkatkan kualitas
Voksel secara keseluruhan dalam mengembangkan
usaha yang berkelanjutan.
Etika Bisnis
Tata Kelola Perusahaan yang Baik memiliki beberapa
prinsip di antaranya Accountability, Reliability,
Responsibility dan Fairness. Melalui prinsip-prinsip
ini, yang juga sesuai dengan Nilai-nilai dasar Voksel,
Manajemen dan karyawan Voksel diharapkan
terdorong untuk berperilaku secara profesional,
transparan dan efisien dalam menjalankan aktivitas
dan kegiatannya serta selalu tunduk pada ketentuan
hukum dan peraturan perundang-undangan yang
berlaku dan konsisten dengan standard bisnis dan
etika profesional.
Seluruh Komisaris, Direksi, Karyawan ataupun
yang bekerja di Entitas Anak ataupun agen/
perwakilan yang bertindak atas nama Perseroan
diwajibkan untuk melaksanakan seluruh tugas dan
pekerjaannya sesuai dengan kebijakan yang dimuat
dalam Pelaksanaan Etika Bisnis ini, serta melaporkan
jika terjadi penyimpangan atas pelaksanaan Etika
Bisnis ini.
Laporan dapat disampaikan melalui telepon, fax,
PO.Box, e-mail atau media lainnya yang dapat
dilakukan dengan “tanpa nama” (
anonymously
).
Apabila seseorang mau melaporkan penyimpangan
ini dengan memberitahu nama dan identitas
mereka, Perseroan akan menjaga dan merahasiakan
sepenuhnya identitas pelapor.
The Company believes that managing the Company’s
management in accordance with Good Corporate
Governance can increase the success of the
organization. Therefore, the management of the
Company has decided to apply the principles of Good
Corporate Governance, Good Corporate Governance
(“GCG”) as implied in the Implementation of Business
Ethics and Work Ethics.
Since the beginning of 2010 the Company has had
guidelines for behavior in Business Ethics and Work
Ethics in a corporate environment, which known as
“EBEK”. EBEK is a guideline for attitude, behavior and
workings of the Voksel’s member which are expected
to improve the overall quality Voksel in developing a
sustainable business.
Business Ethics
Good Corporate Governance has several principles,
including Accountability, Reliability, Responsibility and
Fairness. Through these principles, which are also in
accordance with the basic Voksel Values, Management
and employees of Voksel are expected to be encouraged
to behave professionally, transparently and efficiently
in carrying out their activities, always obey applicable
legal and regulatory provisions and are consistent with
the standards business and professional ethics.
It is the duty of all Commissioners, Directors,
employees, or who work in the Subsidiary or their
agents or representatives who acting on behalf of
the Company are required to carry out all the duties
and tasks in accordance with the policies contained
in the Implementation of Business Ethics, as well as
the reported if there is any case of divergence on the
implementation of the Ethics this business.
Reports can be delivered by telephone, fax, PO.Box,
e-mail or other media that can be done with the
“anonymous” (anonymously), or if someone wants to
report these irregularities with provide a name and
identity, the Company will handle the report and keep
the secrecy of the reporter.
