Dalam hubungannya dengan organ perusahaan lainnya
terkait pelaksanaan tugas dan tanggung jawabnya, Voksel
telah memiliki Board Manual bagi Dewan Komisaris, yakni
pedoman kerja Dewan Komisaris yang berisi panduan bagi
Dewan Komisaris yang menjelaskan hubungan, komunikasi,
dan aktivitas antara organ Perusahaan tersebut secara
terstruktur, sistematis, mudah dipahami dan dapat dijalankan
dengan konsisten, dapat menjadi acuan bagi Dewan
Komisaris dalam melaksanakan tugas masing-masing untuk
mencapai visi dan misi Perusahaan, sehingga diharapkan
akan tercapai standar kerja yang tinggi selaras dengan
prinsip-prinsip GCG. Board Manual Dewan Komisaris
disusun berdasarkan prinsip-prinsip hukum korporasi,
ketentuan Anggaran Dasar, peraturan dan ketentuan
perundang-undangan yang berlaku, arahan Pemegang
Saham serta praktik-praktik terbaik (best practices) GCG.

Dewan Komisaris bertugas dan bertanggung jawab secara
kolektif untuk melakukan pengawasan dan memberikan
nasihat kepada Direksi serta melakukan penilaian atas
kinerja tiap anggota Direksi. Dewan Komisaris juga bertugas
untuk melaksanakan pengawasan terhadap pelaksanaan
efektivitas penerapan GCG dan manajemen resiko di
lingkungan Perusahaan, serta menyusun kriteria seleksi dan
prosedur remunerasi bagi Dewan Komisaris, Direksi dan para
eksekutif lainnya, membuat sistem penilaian dan memberikan
rekomendasi tentang jumlah Dewan Komisaris dan Direksi.
Dalam melaksanakan tugas, Dewan Komisaris bertanggung
jawab kepada RUPS. Pertanggungjawaban Dewan Komisaris
kepada RUPS merupakan perwujudan akuntabilitas
pengawasan atas pengelolaan perusahaan dalam rangka
pelaksanaan prinsip-prinsip GCG.
Remunerasi Dewan Komisaris
Dalam menjalankan tugasnya, setiap anggota Dewan
Komisaris menerima remunerasi yang nilainya ditetapkan
dalamRapat Dewan Komisaris dan Direksi, sesuai wewenang
yang ditetapkan oleh RUPS Tahunan. Selama tahun 2016,
total remunerasi Dewan Komisaris adalah sebesar Rp
2.571.000.000.
tHe board oF CommIssIoner's worK guIdelIne
In conjunction with other company's organs related duties
and responsibilities, Voksel has had Manual Board for
Board of Commissioner. Board Manual contains guidelines
for the Board of Commissioner explain the relationship,
communication, and activity between the company organs
in structured, systematic, easy to understand and can be
running consistently. Board Manual can be a reference for
the Board of Commissioner in carrying out their duties to
achieve their vision and mission, which are expected can
achieve a high standard of work in accordance with GCG
principles. The Board of Commissioner's Board Manual
is based on the principles of corporate law, the article
of association, regulations and provisions of applicable
legislation, shareholder's inputs and best practices (best
practices) GCG.
dutIes and resPonsIbIlItIes oF tHe board oF
CommIssIoner
The Board of Commissioners and responsible collectively
to conduct surveillance and provide advice to the Board
of Directors as well as assessing the the performance
of each member of the Board of Directors. The Board
of Commissioner also carry out supervision on GCG
implementation and effectiveness of risk management in
Company environment, and develop selection criteria and
remuneration procedures for the Board of Commissioners,
the Board of Directors and other executives, make scoring
system and give recommendations regarding the number of
Board of Commissioners and Board of Directors.
In performing their duties, the Board of Commissioner are
responsible to the GMS. The accountability of the Board of
Commissioner to the GMS is a manifestation of oversight
accountability for the management of the company in
corporate governance principles implementation.
Remuneration of the Board of Commissioners
The Board of Commissioners receives remunerations which
amount is decided in the Board of Commissioners and
Directors Meeting, according to the authority decided in the
AGMS. Total remuneration of the Board of Commissioners in
2016 was Rp 2,571,000,000.
