Frekuensi dan Cara Pemberian Nasihat kepada Anggota
Direksi
Dewan Komisaris telah melakukan fungsi pengawasan dan
memberikan nasihat kepada Direksi melalui pertemuan
yang diadakan secara berkala, yaitu 12 kali selama tahun
2020. Dalam pertemuan gabungan Dewan Komisaris dan
Direksi tersebut, Dewan Komisaris memberikan hasil
evaluasi dan penilaian kinerja seluruh jajaran Direksi. Di
tahun 2020, Dewan Komisaris mencatat bahwa Direksi telah
melaksanakan arahan dari Dewan Komisaris dengan baik.
Pandangan atas Prospek Usaha
Kami melihat adanya peluang dan prospek usaha
yang baik di masa depan, terkait dengan transformasi
percepatan digital, terlebih setelah terjadinya pandemi
COVID-19. Kebutuhan digitalisasi telah masuk ke dalam
semua area kehidupan dan mengubah banyak cara
dalam berkegiatan. Kebutuhan ini semakin hari semakin
tinggi dan oleh karenanya Perseroan dapat bersiap diri
mengambil kesempatan untuk meningkatkan produksi dan
terus melayani. Terlebih, peralihan dan pengembangan 5G
di Indonesia juga akan meningkatkan permintaan sarana
telekomunikasi.

masih menjadi prioritas, meski sempat tertunda. Kami
menyampaikan pandangan bahwa Perseroan tetap
optimis untuk melanjutkan pengerjaan proyek ini di 2021.
Melalui proyek ini, Perseroan dapat berkontribusi besar
pada pembangunan jaringan dan pembangkit listrik
sehingga kesiapan dan kompetensi Perseroan perlu terus
ditingkatkan.
Pandangan atas Penerapan Tata Kelola Perusahaan yang
Baik
Secara umum, Dewan Komisaris puas dengan capaian
kinerja tata kelola perusahaan. Kami menilai bahwa
Perseroan telah menerapkan tata kelola perusahaan yang
baik (GCG) sesuai dengan prinsip GCG. Dengan dibentuknya
Komite GCG, Perseroan telah memiliki perangkat GCG
yang lengkap. Keberadaan Komite GCG diharapkan dapat
mengawasi penerapan GCG dengan lebih optimal.
Frequency and Method of Giving Advice to the Board of
Directors
The Board of Commissioners has carried out its supervisory
and advisory functions to the Board of Directors through 12
periodic meetings in 2020. In the joint meeting, the Board
of Commissioners provided evaluation and assessment of
the Board of Directors’ performance. In 2020, the Board of
Commissioners has considered that the Board of Directors
has carried out all of the Board of Commissioners directives
properly.
Overview on Business Prospect
We notice a good opportunity and business prospect in the
future, related to the transformation of digital acceleration,
especially after the COVID-19 pandemic. Demand for
digitalization is in all living aspects and has changed the
way to carry out activities. Due to this growing demand,
the Company can be prepared to take the opportunity to
improve production and continue its business. Furthermore,
the transition and development of 5G in Indonesia will also
increase telecommunication means demand.
On the other side, the high voltage cable project by
Government is still a priority, although it was delayed. We
believe that the Company is still optimistic to continue
this project in 2021. Through this project, the Company
can contribute greatly to the development of a network
and power plant so that the Company’s readiness and
competency needs to be improved continuously.
Overview on the Implementation of Good Corporate
Governance
In general, the Board of Commissioners is satisfied with
the performance of corporate governance. We consider
that the Company has implemented Good Corporate
Governance (GCG) in accordance with the principles. With
the establishment of the GCG Committee and Work Unit, the
Company has a complete GCG unit. The existence of the GCG
Committee and Work Unit is expected to be able to monitor
GCG implementation optimally.
