Remunerasi
Untuk tahun 2019, penetapan remunerasi Dewan
Komisaris dan Direksi dilakukan sesuai keputusan RUPS
Tahunanyangdilaksanakanpada tanggal 21 Juni 2019dan
dituangkan dalam Berita Acara RUPS PT Voksel Electric
Tbk., No. 32 tanggal 21 Juni 2019. Besaran remunerasi
bagi Dewan Komisaris telah ditetapkan langsung dalam
RUPS, sedangkan besaran remunerasi Direksi akan
ditetapkan oleh Dewan Komisaris, sesuai pelimpahan
kewenangan dalam RUPS tersebut. Selanjutnya, melalui
Rapat Gabungan Dewan Komisaris dan Direksi, Dewan
Komisaris telah menetapkan besaran remunerasi Direksi
untuk tahun buku 2019. Penetapan remunerasi kedua
organ tata kelola tersebut telah mempertimbangkan
penilaian kinerja Dewan Komisaris dan Direksi, kondisi
Perseroan serta rekomendasi Komite Nominasi dan
Remunerasi yang disampaikan kepada Dewan Komisaris.

Remunerasi yang diterima Dewan Komisaris dan
Direksi terdiri dari remunerasi yang bersifat tetap,
seperti gaji pokok, honorarium, insentif non-kinerja;
serta remunerasi yang bersifat variabel, seperti insentif
berbasis kinerja.

Selama tahun 2019, Dewan Komisaris dan Direksi tidak
mendapatkan bonus non kinerja ataupun bonus saham.
Procedure and Basics of
Remuneration
The determination of remuneration for the Board of
Commissioner and Directors in 2019 is carried out in
accordance to the resolutionof Annual GMSon June21, 2019
and set forth in the Minutes of GMS PT Voksel Electric Tbk.,
No. 32 dated June 21, 2019. The amount of remuneration of
the Board of Commissioners have been decided directly in
the GMS, while the amount of remuneration for the Board
of Directors is decided by the Board of Commissioners,
in accordance to the delegation of authority in the GMS.
Furthermore, through joint meeting between the Board of
Commissioners and Directors, the Board of Commissioners
has decided the amount of remuneration for the Board
of Directors in 2019. The determination of remuneration
for both organs have considered the performance
assessment of the Board of Commissioners and Directors,
the Company’s condition as well as the recommendation
of Nomination and Remuneration Committee submitted to
the Board of Commissioners.

The amount of remuneration for the Board of
Commissioners and Directors consists of permanent
remunerations, such as basic salary, honorarium, non-
work incentives; as well as variable remuneration, such
as performance-based incentives.
