Keputusan
1. Menyetujui dan mengesahkan perubahan Pasal 3
Anggaran Dasar Perseroan tentang Maksud dan
Tujuan Perseroan untuk menyesuaikan dengan
Klasifikasi Baku Lapangan Usaha Indonesia (KBLI)
2017 terkait dengan pengumuman bersama
Kementerian Hukum dan Hak Asasi Manusia
cq. Direktorat Jendral Administrasi Hukum
Umum dan Kementerian Koordinator Bidang
Perekonomian Republik Indonesia cq. Lembaga
OSS (One Single Submission) yang mewajibkan
Perseroan Terbatas untuk menyesuaikan Maksud
dan Tujuan serta kegiatan usahanya sesuai
dengan KBLI 2017 dalam jangka waktu 1 tahun.
Berdasarkan hal tersebut maka Pasal 3 Anggaran
Dasar menjadi berbunyi:
Pasal 3
1. Maksud dan Tujuan Perseroan ialah berusaha
dalam bidang industri, pemasaran jasa
kelistrikan dan telekomunikasi.
2. Untuk mencapai maksud dan tujuan tersebut
di atas Perseroan melaksanakan kegiatan
usaha sebagai berikut:
• Industri Serat Optik (KBLI 27310)
• Industri Kabel Listrik dan Elektronik
Lainnya (KBLI 27320)
• Industri Perlengkapan Kabel (KBLI 27330)
• Industri Peralatan Kabel Lainnya (KBLI
27900)
• Instalasi Listrik (KBLI 43211)
• Instalasi Telekomunikasi (KBLI 43212)
2. Memberikan wewenang dan kuasa dengan
hak substitusi kepada Direksi Perseroan baik
sendiri-sendiri maupun bersama-sama untuk
melakukan segala tindakan yang diperlukan
berkaitan
dengan
keputusan-keputusan
tersebut di atas, termasuk tetapi tidak terbatas
untuk menyatakan perubahan pasal 3
Anggaran Dasar Perseroan dalam suatu akta
Notaris tersendiri dan meminta persetujuan
dari Kementrian Hukum dan Hak Asasi Manusia
Republik Indonesia dan instansi-instansi terkait
lainnya serta melakukan segala tindakan yang
dianggap perlu dan berguna sesuai dengan
peraturan perundang-undangan yang berlaku
untuk melaksanakan keputusan rapat ini
dengan sebagaimana mestinya.
Realisasi
Telah dilaksanakan sesuai Akta Berita Acara Rapat
Umum Pemegang Saham Luar Biasa No. 35 tanggal
18 Oktober 2019.
Resolution
1. Aprroved and ratified the amendment of Article 3
of the Company’s Article of Association concerning
Purpose and Objectives of the Company to
conform to the 2017 Standard Classification of
Indonesia Business Field (KBLI) related to joint
announcement with the Ministry of Law and
Human Rights cq. Directorate General of Law
and Administration and Coordinating Ministry
of Economic Affairs of the Republic of Indonesia
cq. OSS (One Single Submission Institution) which
requires Limited Liability Companies to adjust
their Purposte and Objectives of their business to
KBLI 2017 within the period of 1 year.
Based on this, the Article 3 of the Article of
Assiociation states:
Article 3
1. Purpose and Objectives of the Company is
to engage in industrial, marketing power and
telecommunication service.
2. To achieve the purpose and objectives, the
Company carried out the following business:
• Fiber Optic Industry (KBLI 27310)
• Power Cables and other Electronics
Industry (KBLI 27320)
• Cable Parts Industry (KBLI 27330)
• Other Cable Parts Industry (KBLI 27900)
• Electrical Installation (KBLI 43211)
• Telecommunication Installation (KBLI
43212)
2. Granting authority and substitution rights to
the Board of Directors, both individually or
collectively to take necessary actions related
to the aforementioned resolutions, including
but not limited to declare the amendment of
Article 3of theCompany’s Articleof Association
in a separate Notarial deed and notifying and
registering the resolution of this meeting
to the Ministry of Law and Human Rights of
the Republic of Indonesia and other related
instituton as well as to take all necessary and
useful actions in accordance to the applicable
law and regulations to carry out the resolution
of this meeting properly.
