RUPS menetapkan remunerasi untuk Direksi, di mana
dalam hal kewenangan RUPS tentang besaran gaji
dan tunjangan anggota Direksi dilimpahkan kepada
Dewan Komisaris sesuai pasal 96 UU No. 40 tahun
2007 tentang Perseroan Terbatas. Besaran Gaji dan
tunjangan anggota Direksi ditetapkan berdasarkan
Rapat Dewan Komisaris dengan mempertimbangkan
kinerja Perseroan.
Remunerasi yang nilainya ditetapkan dalam Rapat
Dewan Komisaris dan Direksi diberikan kepada Dewan
Direksi, sesuai wewenang yang ditetapkan oleh
RUPS. Pada tahun 2018, total remunerasi Direksi
adalah sebesar Rp9.857.666.027.
Selama tahun 2018 Direksi telah mengadakan rapat
sebanyak 11 (sebelas) kali, baik rapat Direksi maupun
rapat bersama dengan Dewan Komisaris dengan
daftar hadir sebagai berikut:
Remuneration for the Board of Directors is stipulated
by the General Meetings of Shareholders, where the
GMS authority about amount of salary and allowance
for the Board of Directors members is delegated to the
Board of Commissioners according to article 96 Law
No. 40 of 2007 on Limited Liability Company. Amount of
the Board of Directors member salary and allowance is
determined based on Board of Commissioners Meeting
and considering the Company’s performance.
Remuneration of which value is set at the Board of
Commissioners and Directors’ Meetings is given to
the Board of Directors, according to the authority
stipulated by the GMS. In 2018, the total remuneration
of the Directors amounted to Rp9,857,666,027.
Throughout 2018, the Board of Directors 11 (eleven)
times meetings, both the Board of Directors meeting
or Joint Meeting with the board of Commissioners with
attendance list, as follows:
